1. Acceptance of these Terms
These Terms govern your use of the Sparkit Atelier apps and website ("Atelier"). By creating an account or using Atelier you agree to them. If you do not agree, do not use Atelier.
They are a legally binding agreement between you and SPVRKD AG ("Sparkit," "we," "us," or "our"), registered in Switzerland (CHE-260.912.934), Baarerstrasse 78, 6300 Zug, Switzerland.
An agent also signs the agent agreement in the app. Where it conflicts with these Terms, the agent agreement applies to the work it covers.
2. Who can use Atelier
Atelier is a work tool for production agents, factories and the Sparkit team. You must be at least 18 and able to enter into this agreement. If you use Atelier for a business, you confirm you may bind it to these Terms.
A new agent’s account waits for approval by Sparkit. We may refuse, suspend or remove any account.
3. Your account
You sign in with a code sent to your email. Keep access to that email secure, and you are responsible for what happens under your account. Tell us at once at support@sparkit.world if you suspect unauthorised access.
Keep your profile accurate. You can delete your account at any time in the app; our Privacy Policy explains what is deleted and what stays on order records.
4. The service
Atelier lets the people working on a production order share chats, files, tech packs, quotes, samples and progress. Sparkit coordinates production; a factory or agent’s commitments on an order are as agreed on that order.
We may change, suspend or stop any part of Atelier with reasonable notice. Atelier has no in-app purchases; payments between Sparkit, agents and factories are governed by their agreements, not by these Terms.
5. Acceptable use
Do not harass, threaten, abuse or demean anyone. Do not post hateful, sexual or illegal content, spam or scams. Do not infringe anyone’s rights, share another party’s confidential information without permission, try to reach data that is not yours, or disrupt Atelier.
We have no tolerance for objectionable content or abusive users. Any message can be reported from its menu, and anyone can be blocked. Sparkit reviews reports and may remove content or suspend or remove an account, without prior notice.
6. Your content
You keep ownership of what you upload. You give Sparkit, and the people working on the order or factory concerned, a licence to host, copy, show and use it to run Atelier and fulfil production. You confirm you have the right to share it.
Messages, files and signatures left on an order are part of its record and may stay after you leave Atelier, as the Privacy Policy describes.
Designs, tech packs and client information you see in Atelier are confidential. Use them only for the order they belong to.
7. Noah and other AI features
Noah is an optional AI assistant. It works only if you allow your data to be shared with the third-party AI providers named in the Privacy Policy, and you can turn it off at any time.
AI can be wrong. Check Noah’s answers and drafts, and anything read by Fill with AI, before relying on them. Noah never sends a message for you; you decide what is sent.
8. Factories and agents
Agents and factories are independent businesses. Sparkit does not guarantee a third party’s output, quality, delivery or pricing beyond what is explicitly agreed on a production order.
9. Limitation of liability
To the maximum extent permitted by law, Sparkit is not liable for indirect, incidental, special or consequential damages arising from your use of Atelier.
Atelier is provided "as is", without warranties of any kind. We do not warrant that it will be uninterrupted or error-free.
10. Suspension and ending
You can stop using Atelier and delete your account at any time. We may suspend or end your access if you break these Terms, or if your work with Sparkit ends. The sections that by their nature should survive will do so.
11. Apple
If you downloaded Atelier from the App Store: these Terms are between you and Sparkit, not Apple. Apple is not responsible for Atelier or its content, has no duty to provide support or maintenance for it, and is not responsible for any product claims, third-party intellectual property claims or legal compliance relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use must also follow the App Store’s usage rules.
12. Governing law and disputes
These Terms are governed by the laws of Switzerland. Any dispute arising from them is subject to the exclusive jurisdiction of the courts of Zug, Switzerland, unless mandatory law says otherwise.
Please contact support@sparkit.world first: most things can be solved informally.
13. Changes to these Terms
We may update these Terms. Material changes will be communicated by email or in the app at least 14 days before they take effect. Continued use after that means you accept them.
